Terms of Service

1. Agreement to Terms

By accessing or using the Barite platform and website ("Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services. These terms constitute a legally binding agreement between you and Barite Ltd ("Barite", "we", "us", or "our").

2. Description of Services

Barite provides a risk and compliance service delivered as a subscription. AI agents prepare the work and an experienced practitioner reviews it and stands behind the output. Our Services include security and audit readiness such as SOC 2 and ISO 27001 preparation, security questionnaire responses, business continuity and disaster recovery planning, and risk analysis including risk registers, assessments, and reporting. We prepare and analyse. We do not certify or attest.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or the organisation you represent. By using our Services, you represent that you meet these requirements.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, for all activities that occur under your account, and for notifying us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that violate these terms.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use the Services to transmit harmful, offensive, or misleading content.
  • Reverse engineer, decompile, or disassemble any part of the platform.

6. Intellectual Property

All content, features, and functionality of the Services (including text, graphics, logos, software, and AI models) are owned by Barite and protected by intellectual property laws. Work product we prepare for you is owned by you as the client unless otherwise agreed in writing.

7. Nature of Our Work

Barite prepares and analyses risk and compliance material and supports your readiness for audits and certifications. We do not issue certifications, audit opinions, or attestations, and we do not provide insurance advice or place insurance. Certifications such as SOC 2 and ISO 27001 are issued by licensed independent firms, not by Barite. Our work is reviewed by an experienced practitioner, but we do not guarantee any specific audit result or outcome.

8. Fees and Payment

Fees for Services are set out in your subscription agreement or order form. All fees are due as specified and are non-refundable unless otherwise stated. We reserve the right to modify pricing with reasonable notice.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged in the course of the work. This includes the documents and systems information you share, the work we prepare for you, and commercial terms, except where disclosure is required by law.

10. Limitation of Liability

To the maximum extent permitted by law, Barite shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Termination

Either party may terminate these terms at any time with written notice. Upon termination, your right to access the Services ceases immediately. Provisions that by their nature should survive termination (including confidentiality, limitation of liability, and intellectual property) will remain in effect.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page. Continued use of the Services after changes constitutes acceptance of the revised terms.
